Studyio Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Studyio ("Studyio", "we", "us" or "our"), a sole proprietorship operating from Alberta, Canada.

They govern your access to and use of studyio.ca, our lessons, quizzes, practice tests, calculators, AI tutor and everything else we offer (together, the "Service").

By ticking the box at signup, creating an account, subscribing, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use Studyio.

Please read sections 6 and 7 in particular. Section 6 says that subscriptions renew automatically and that fees already paid are not refunded, including where you forget to cancel. Section 7 says that your access is personal to you, and may not be used to teach or supply anyone else.

1. Definitions

Account
The personal login you create to access the Service.
Content
All lessons, videos, audio narration, quizzes, questions, answers, solutions, explanations, images, text, software, branding and other material made available through the Service.
Free Tier
The portion of the Service available without payment, including any usage limits we apply to it.
Subscription
A paid, recurring plan that unlocks premium features of the Service.
You
The person using the Service. If you are under the age of majority, 'you' also includes the parent or guardian who consents to your use of the Service and accepts these Terms on your behalf.

Who you are contracting with

Studyio is a business name, not a corporation. The business is owned and operated by an individual sole proprietor in Alberta, who is the party contracting with you. We will give you the operator's legal name and a mailing address on request — email hello@studyio.ca and we will respond within 30 days, including where you need it to serve a legal notice or to complete a school or school authority privacy review.

2. Who may use Studyio

You must be at least 13 years old to create an Account. The Service is not directed to, and we do not knowingly allow accounts for, children under 13.

By creating an Account and agreeing to these Terms, you confirm that you are at least 13 years old, and that if you are under 18, your parent or legal guardian has read these Terms, has given you permission to use Studyio, and accepts these Terms on your behalf. If that is not true, you may not create an Account.

18 is the age of majority in Alberta. If you are under it, you may only use the Service with the knowledge and permission of a parent or legal guardian. By allowing you to use Studyio, that parent or guardian:

You must also have the legal capacity to enter into a binding contract, and you must not be barred from using the Service under the laws of Canada or Alberta.

The Service is intended for users located in Canada. We make no representation that the Service is appropriate or available for use elsewhere.

3. What Studyio is — and what it is not

Studyio is an independent educational support platform built around the Alberta Program of Studies, covering Grade 9 Mathematics, Math 10C, Math 20-1 and Math 30-1.

Studyio is not affiliated with, endorsed by, or sponsored by Alberta Education, the Government of Alberta, any school authority or school board, or any examination or credentialing body. References to the Alberta curriculum, the PAT and the Diploma Exams are descriptive only, and those names remain the property of their respective owners.

When you create an Account, you agree to:

Accounts are personal and may not be shared. You are responsible for all activity that occurs under your Account, except to the extent that activity results from our own failure to maintain reasonable security.

You may sign in using a third-party identity provider such as Google. If you do, your use of that provider remains subject to that provider's own terms, and you authorize us to receive basic profile information from it as described in our Privacy Policy.

5. Free Tier, Subscriptions and billing

Free Tier

We offer a Free Tier so you can use Studyio without paying. Free Tier features, usage limits and availability are set at our discretion and may change or end at any time.

Subscriptions

Paid Subscriptions are billed in advance on a monthly or annual basis, in Canadian dollars unless stated otherwise at checkout. Applicable taxes, including GST, are added where required by law. The price and billing period that apply to you are the ones displayed on the checkout page at the time you subscribe.

Automatic renewal

Your Subscription renews automatically. At the end of each billing period, your Subscription will automatically renew for another period of the same length, and the payment method on file will be charged the then-current price, unless you cancel before the renewal date. You can cancel at any time from your account settings or by emailing hello@studyio.ca.

Free trials and promotions

If we offer a free trial or promotional rate, we will tell you how long it lasts before you start it. A free trial is not a one-off: it converts into a paid Subscription automatically. Unless you cancel before the trial or promotional period ends, your Subscription will continue and the payment method on file will be charged at the standard rate, and that charge is not refundable — see section 6.

Keeping track of when your trial ends is your responsibility. We will try to remind you by email before a trial converts, but a reminder is a courtesy, not a condition of the charge: if a reminder is delayed, filtered as spam, or sent to an out-of-date address, the Subscription still renews and the charge still stands.

Trials and promotions are limited to one per person unless we say otherwise, and we may withdraw access if we detect abuse of trial offers — for example, creating additional accounts to obtain repeated trials.

Price changes

We may change our prices. If a price change affects your existing Subscription, we will give you at least 30 days' notice by email before it takes effect, and the new price will apply only from your next renewal. If you do not accept the new price, you may cancel before the renewal date.

Payment processing

Payments are processed by a third-party payment processor. We do not receive or store your full payment card number. Your use of the payment process is also subject to that processor's terms and privacy policy, which are presented to you at checkout. If a payment fails, we may retry it and may suspend premium access until payment succeeds.

6. Cancellation and refunds

Cancelling

You may cancel your Subscription at any time, from your account settings or by emailing hello@studyio.ca. When you cancel, your Subscription stops renewing and you keep premium access until the end of the billing period you have already paid for. We do not provide partial or pro-rated refunds for the unused part of a billing period.

Cancelling is something you do — it does not happen on its own. Uninstalling, signing out, stopping use of the Service, deleting the app from your device, or removing our emails does not cancel a Subscription. A Subscription is cancelled only when you cancel it through your account settings, or when we confirm a cancellation you have requested by email.

Fees are non-refundable

Except where a refund is required by law, fees already paid are non-refundable. In particular, and without limiting that, we do not give refunds because you forgot to cancel — whether you forgot to cancel a free trial before it converted, or forgot to cancel a Subscription before it renewed for another period.

For clarity, none of the following is a ground for a refund:

We may still choose to issue a refund or credit in a particular case, at our discretion. Doing so once does not oblige us to do so again, and does not change this section.

Your statutory rights

Nothing in these Terms removes or limits your mandatory rights as a consumer. If you are a consumer in Alberta, the Consumer Protection Act (Alberta) and its regulations — including the rules that apply to internet sales contracts and to automatically renewing agreements — give you rights that this section cannot override. Where any term here conflicts with those rights, your statutory rights prevail.

Billing errors and chargebacks

If you believe you were charged in error, contact us at hello@studyio.ca and we will investigate promptly. Please contact us before starting a chargeback with your bank or card issuer, so we have a chance to put things right — most billing questions are resolved in a day or two.

Where a chargeback is started against a charge that was validly incurred under these Terms, we may suspend premium access while the dispute is open, and we may recover the disputed amount and any fee charged to us by the payment processor as a debt owed to us.

7. Your licence to use Studyio

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service and Content for your own private study only.

Your access is personal to you

Your Account and everything in it are licensed to you alone, for your own learning. They are not licensed for you to teach, tutor, coach or supply anyone else, and they are not licensed for use in any business. If you want to use Studyio with students, you need a teacher or school account and our written agreement — not a personal one.

So that there is no doubt about what that means, you may not, without our prior written permission:

Teachers and schools: where a teacher or school authority sets Studyio up for a class through our teacher or school features, we grant a separate classroom licence for that purpose, on the terms in section 12. That licence covers use with the students in that class and nothing more; it does not permit copying Content out of the Service, or using it for tutoring or any other activity outside the class.

How we enforce this

We monitor for signs that an Account is being shared or used to supply Content to others — for example, use from many devices or locations at once, or bulk downloading. If we reasonably believe this section has been breached, we may suspend or terminate the Account under section 15, without a refund, and require that any copies of Content be deleted.

Content is protected by copyright. Breaching this section is both a breach of these Terms and, in most cases, an infringement of copyright, and we reserve every remedy available to us — including an injunction and damages.

8. Intellectual property

All Content and all intellectual property rights in the Service — including copyright, trademarks, trade dress, designs, databases and software — are owned by Studyio or licensed to us, and are protected by Canadian and international law.

The "Studyio" name and logo are our trademarks. You may not use them without our prior written permission.

These Terms do not transfer any ownership to you. All rights not expressly granted are reserved.

If you believe material on the Service infringes your copyright, contact us at hello@studyio.ca with enough detail to identify the material and your rights in it, and we will investigate and respond as required by the Copyright Act (Canada).

9. Your content and feedback

You may submit material to the Service — quiz responses, messages to our AI tutor, survey answers, support requests and similar ("Your Content"). You keep ownership of Your Content.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and process Your Content solely to operate, secure, support and improve the Service for you, and as described in our Privacy Policy. We do not sell Your Content and we do not publish it publicly.

You are responsible for Your Content, and you confirm you have the right to submit it. Please do not submit sensitive personal information — such as health, financial or government identification details — through the AI tutor or support channels.

If you send us suggestions or feedback about the Service, we may use them freely, without obligation or compensation to you.

10. AI features

The Service includes AI-powered features, including an AI tutor. These features generate responses automatically using third-party AI models.

AI-generated responses may be incomplete, out of date, or simply wrong. They are provided for study support only. They are not teaching, tutoring, legal, medical, financial or other professional advice, and you should not rely on them alone for graded work or for any important decision.

You agree that:

AI features are subject to fair-use limits, which we may apply and adjust to keep the Service running for everyone.

11. Academic integrity

Studyio is built to help you learn — not to complete your work for you. You are responsible for complying with the academic integrity rules of your school, school authority and any examination body.

You must not use the Service to cheat, including by using it during an assessment where outside help is not permitted, by submitting AI-generated work as your own where that is prohibited, or by reproducing or distributing live examination material. Misuse of this kind may breach your school's rules, and the consequences of that are between you and your school.

12. Schools, teachers and classes

Where a school, school authority or teacher sets up Studyio for a class, the school is responsible for obtaining any consent required under the Freedom of Information and Protection of Privacy Act (Alberta) or other applicable legislation before providing student information to us, and for the accounts it creates.

A teacher or school administrator may be able to see progress and performance information for students in their class. If you are a student in a school-provided class, please direct questions about that visibility to your school in the first instance.

Where we handle student personal information on a school's behalf, we act as the school's service provider and handle it only on the school's instructions and as described in our Privacy Policy.

13. Third-party services and links

The Service relies on third-party providers (for example, for authentication, payments, hosting, email and AI) and may link to third-party websites. We do not control those third parties, and we are not responsible for their content, products, practices, or availability.

Your dealings with a third party are between you and that third party, and are governed by that party's own terms and privacy policy.

14. Availability and changes to the Service

We work to keep Studyio available and accurate, but we provide it on an ongoing, evolving basis. We may add, change, suspend, limit or remove any part of the Service — including Content, features, Free Tier limits and supported courses — at any time.

We do not guarantee that the Service will be uninterrupted, timely, secure or error-free, and access may be unavailable during maintenance, updates or events beyond our control.

If we discontinue the Service entirely, we will give reasonable notice to active subscribers and refund the unused portion of any prepaid Subscription.

15. Suspension and termination

You may stop using the Service and delete your Account at any time by contacting us at hello@studyio.ca.

We may suspend or terminate your Account or access to the Service if you materially breach these Terms, if we are required to by law, or if your use creates a risk of harm to us, to other users, or to the Service. Where it is reasonable and lawful to do so, we will give you notice and an opportunity to fix the problem first; we may act immediately where the breach is serious, such as security abuse, fraud, or unlawful use.

If we terminate your Account for reasons other than your breach, we will refund the unused portion of any prepaid Subscription. Where we terminate or suspend your Account because you breached these Terms, no refund is due, and you remain liable for any amount already owing. On termination, your licence to use the Service ends, you must stop using the Content and delete any copies you hold, and we will handle your personal information as described in our Privacy Policy.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity and governing law — will survive.

16. Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service and all Content are provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory — including implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement.

We do not warrant that the Service will meet your requirements, that Content is accurate, complete or current, that defects will be corrected, or that the Service is free of harmful components.

Some jurisdictions, including Alberta, do not allow the exclusion of certain warranties or conditions. To the extent a warranty or condition cannot lawfully be excluded, it applies, and the exclusions in this section apply only to the extent the law permits.

17. Limitation of liability

To the fullest extent permitted by law:

These limits do not apply to liability that cannot be excluded or limited by law — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or under the Consumer Protection Act (Alberta). Nothing in these Terms limits your mandatory rights as a consumer.

You acknowledge that these limits are a fair allocation of risk between us, and that our pricing reflects them.

18. Indemnity

You agree to indemnify and hold harmless Studyio and its operator, employees and contractors from any third-party claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

This indemnity does not apply to the extent the claim results from our own breach, negligence or wilful misconduct, and it does not apply to a consumer to any extent prohibited by law.

19. Privacy

Our Privacy Policy explains what personal information we collect, why we collect it, who we share it with, where it is stored, and how you can access, correct or delete it. It forms part of these Terms, and by using the Service you agree to it.

20. Communications

By creating an Account, you agree that we may send you electronic messages relating to the Service — such as verification codes, billing notices, security alerts and important changes to these Terms. These are necessary to provide the Service and are not marketing messages.

We will only send you marketing or promotional email where you have consented, or where we are otherwise permitted under Canada's Anti-Spam Legislation (CASL). You can withdraw that consent at any time using the unsubscribe link in any marketing email, or by emailing hello@studyio.ca.

You agree that we may provide notices to you electronically, at the email address on your Account.

21. Changes to these Terms

We may update these Terms as the Service and the law evolve. When we do, we will change the “Last updated” date at the top of this page.

If a change is material — for example, a change to fees, to your cancellation rights, or to our liability — we will give you reasonable advance notice by email or through the Service before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, you may cancel your Subscription and stop using the Service.

22. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules.

Before starting any formal proceeding, please contact us at hello@studyio.ca so we can try to resolve the matter informally. Most issues are resolved quickly this way, and we commit to responding within 30 days.

If we cannot resolve it, you agree that the courts of Alberta have jurisdiction, and you attorn to those courts. If you are a consumer, this does not deprive you of the protection of the mandatory laws of the province or territory where you live, or of your right to bring a claim there or before a small claims court.

23. General

Entire agreement
These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any earlier understanding on that subject.
Severability
If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of the Terms stay in force.
No waiver
If we do not enforce a provision, that is not a waiver of our right to enforce it later.
Assignment
You may not assign these Terms without our written consent. We may assign them to a successor in connection with a reorganization, merger or sale of the business, on notice to you.
Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including outages of third-party infrastructure, network failures, natural events and government action.
No third-party beneficiaries
These Terms do not create rights for anyone other than you and us.
Language
The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que ces conditions et tous les documents connexes soient rédigés en anglais.
